How to Write a Credit Note (and When You Need One)

Guide · 3 min read

You issued an invoice with an error, or your client returned goods, or the job was cancelled after the invoice went out. A credit note is the correct financial document to issue in each case.

Quick answer: A credit note is a document you issue to reduce or cancel an amount previously invoiced. It references the original invoice, states what is being credited and why, and is sent to the client as a formal correction. It is not an invoice: it reduces the outstanding balance rather than creating a new one.

When to issue a credit note

What a credit note must include

Credit note numbering

Keep credit notes in a separate numbered sequence from invoices: CN-001, CN-002, or CR-2024-001. This keeps your records clean and makes it immediately clear in your accounting that the document reduces a balance. Never reuse an invoice number for a credit note. For background on invoice numbering conventions, see invoice number format best practices.

Credit note vs revised invoice

If you catch an error before the client has received or processed the original invoice, you may be able to simply cancel it and reissue a corrected version with a new number (marking the original cancelled). If the original invoice has already been received, processed or paid, a formal credit note is the correct approach because it creates an auditable paper trail that explains the change.

Partial credits

A credit note can cover a partial amount rather than the full invoice. If a client returns one item from a multi-item invoice, credit only the value of that item plus the tax on it. The rest of the invoice remains due. Invoice Studio makes it straightforward to create credit notes that reference the original invoice and state the correct amounts.

Common questions

What is a credit note?
A credit note is a formal document that reduces or cancels an amount previously invoiced. It references the original invoice, states what is being credited and the reason, and is sent to the client as a correction. It reduces the outstanding balance rather than creating a new debt.
When should I issue a credit note instead of a new invoice?
Issue a credit note when the original invoice has already been sent, received or processed by the client. If the error is caught before the invoice reaches the client, cancelling and reissuing with a corrected invoice number may be simpler. Credit notes create the cleaner audit trail once an invoice is in the client's system.
Does a credit note need to match the original invoice exactly?
It must reference the original invoice number and apply the same tax treatment as the original. The credit can be for the full invoice amount or a partial amount. The description should clearly state what is being credited and why.
